1. Acceptance of Terms
By accessing and using the services provided by Ilein Consulting Pty. Limited (ABN 55 686 746 412) trading as Ilein Digital Agency ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
We provide digital services including but not limited to web development, web applications, digital marketing, and design services. The specific scope of services will be outlined in individual project agreements or proposals.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information as required for the project
- Reviewing and providing feedback within agreed timeframes
- Ensuring they have the rights to any content provided to us
- Making payments according to agreed terms
4. Intellectual Property
Upon full payment, clients will own the final deliverables created specifically for their project. We retain the right to use work samples in our portfolio unless otherwise agreed in writing. Any pre-existing intellectual property, frameworks, or tools remain our property.
5. Payment Terms
Payment terms will be specified in individual project proposals or agreements. Unless otherwise stated, invoices are due within 14 days of issue. We reserve the right to suspend work on projects with overdue payments.
6. Limitation of Liability
To the maximum extent permitted by law, our liability for any claims arising from our services shall be limited to the fees paid for those services. We shall not be liable for any indirect, incidental, or consequential damages.
7. Termination
Either party may terminate an agreement with written notice. In the event of termination, the client shall pay for all work completed up to the termination date.
8. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
9. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
